Terms of Service

These terms govern use of Ellery Health (“we”, “us”). Sections 1 to 13 are an agreement between us and the practice that opens an account (“you”). They are not an agreement with any patient. The text message terms at the end of this page are written for patients, and they are the only part of this page that is.
1. What the service is
Ellery Health requests insurance eligibility information from payers on your behalf, presents what the payer returns, manages your appointment schedule, and sends appointment reminders you have configured. It also records the payments you take at your front desk and, where you use it, books visits by phone through a voice agent.
2. What the service is not
Ellery Health reports what the payer says. It does not decide coverage and it does not guarantee payment. A response indicating active coverage is not an assurance that a claim will be paid, and an estimate of patient responsibility is an estimate. You remain responsible for your own verification, for your billing decisions, and for all clinical judgement. We are not a party to the relationship between you, your patient and their payer.
Payments you take from patients are between you, your patient and your payment processor. You are the merchant, and the money does not pass through us.
3. Your account
- You are responsible for who you give access to, for keeping sign-in credentials secure, and for what your users do in the account.
- Accounts are for your practice. Do not share them across organisations.
- Tell us promptly if you believe an account has been compromised.
4. Patient information and consent
You are responsible for the patient information you put into Ellery Health — that you are entitled to hold it, and that you have whatever consent or authorisation the law requires for us to process it on your behalf.
Before you switch on reminders, you are responsible for having the patient's consent to be contacted about their appointments, at the address or number you have on file, and for keeping that consent current. Ellery Health records consent and honours a patient's withdrawal of it, but the obligation to obtain it is yours.
Text reminders need their own consent. Before a patient is sent a text reminder, you must hold that patient's written agreement to receive text reminders at that number. Agreeing to email is not agreeing to texts, and a phone number on file is not agreement. You must not make that agreement a condition of care. After a patient replies STOP to a text reminder, your practice sends that number no more text reminders, apart from one message that may confirm it. HELP is answered on every practice's number. What patients are told is in the text message terms below.
Where HIPAA applies, we act as your business associate under a separate business associate agreement, which governs protected health information and prevails over these terms to the extent of any conflict.
5. Acceptable use
Do not use Ellery Health to send marketing or solicitation messages of any kind, to contact people who are not your patients, to upload lists you did not obtain directly from your own patients, or to attempt to reach another practice's data. Do not attempt to disrupt, probe or reverse engineer the service.
We may suspend an account that is causing harm to patients, to other practices, or to the deliverability of the service. Where we can, we will tell you first.
6. Fees
Subscription fees are charged in advance and usage above the plan's included amount is charged in arrears, as described on your Billing page. If you cancel part-way through a paid period, we refund the unused portion of the subscription fee pro rata from the date of cancellation; usage you have already incurred is not refunded. We will give 30 days' notice before changing prices.
7. Availability
We aim to keep Ellery Health available, and it depends on services we do not control — payers, the clearinghouse, and our hosting provider. We do not commit to a specific uptime level under these terms. Where we offer a service level agreement, it is a separate document and applies in addition to these terms.
8. Your data
Your data remains yours. You can export it while your account is active, and you can ask us to delete it when you leave, subject to records we are required to retain. How we handle it is set out in the Privacy Policy.
9. Disclaimers and limits
Except as stated in these terms, the service is provided as is, without warranties of any kind, express or implied.
Our total liability arising out of or relating to this agreement is limited to the fees you paid us in the twelve months before the event that gave rise to the claim. Neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits.
These limits do not apply to your obligation to pay fees due, to either party's fraud, gross negligence or wilful misconduct, or to anything the law does not permit us to limit.
10. Ending the agreement
You may close your account at any time. Either of us may end this agreement for a material breach that is not corrected within 30 days of written notice of it. On termination you stop having access to the service, and we handle your data as described above.
11. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The state and federal courts sitting in New Jersey have exclusive jurisdiction over any dispute arising out of them, and both parties consent to venue there.
12. Changes
We may update these terms. If a change materially affects you we will tell you before it takes effect, and continuing to use the service after that date means you accept the change.

Text message terms
This part is for patients. It applies when a medical or dental practice sends you appointment reminders by text message through Ellery Health.
Text reminders are not being sent yet. These terms apply from the first one.
- What you get. Appointment reminders for visits you already have with your practice. Each one names the practice and comes from a phone number registered to that practice. They never carry marketing.
- How you sign up. By agreeing in writing with your practice to receive text reminders at your mobile number. It is optional, and it is not a condition of being seen by your practice.
- How often. Message frequency varies with your appointments. You get no more than about two text reminders for each appointment.
- Cost. Message and data rates may apply.
- To stop. Reply STOP to any text reminder. You may get one message confirming it, and then that practice sends no more text reminders to your number.
- For help. Reply HELP to any text reminder, write to support@elleryhealth.net or call (732) 444-7364.
- Carriers. Mobile carriers are not liable for delayed or undelivered messages.
- Privacy. No mobile information is shared with third parties or affiliates for marketing or promotional purposes. The Privacy Policy says how mobile numbers are handled.
